2. Orders
All orders are subject to acceptance and availability.
Minimum order quantities may apply depending on product lines.
Once accepted, orders cannot be cancelled without our written consent.
3. Prices & Payment
Prices are quoted in GBP (£) and are exclusive of VAT unless otherwise stated.
Payment terms will be agreed in writing. Unless otherwise agreed, payment is required prior to dispatch.
We reserve the right to withhold delivery if payment terms are not met.
4. Delivery
We will make every effort to deliver goods within agreed timescales, but delivery dates are estimates only and not guaranteed.
Risk of loss or damage passes to you upon delivery of the goods.
Title (ownership) of the goods remains with Celestia Distribution Ltd until full payment has been received.
5. Returns & Refunds

Goods may only be returned with our prior written authorisation.
6. Product Information & Liability
While we take care to ensure accuracy, descriptions, images, and specifications are for guidance only.
It is your responsibility to ensure products are suitable for your intended use.
Our liability is limited to the value of the goods supplied and does not extend to consequential loss, business interruption, or loss of profit.
7. Compliance
You agree to comply with all applicable UK laws and regulations relating to the resale, marketing, and use of our products.
Products must not be mislabelled, repackaged, or resold in a way that could mislead customers or harm the reputation of Celestia Distribution Ltd.
8. Intellectual Property
All branding, logos, and marketing materials provided by Celestia Distribution Ltd remain our property and must not be used without prior written consent.
9. Force Majeure
We will not be liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to strikes, transport disruption, natural disasters, or supplier failure.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
